Terms of Service

Please read these Terms of Service ("Terms") carefully before using the SpeakSheet mobile application ("App") operated by BaseMapped LLC ("Company", "we", "us", or "our"). By downloading, installing, or using SpeakSheet, you agree to be bound by these Terms.

1. Description of Service

SpeakSheet is a voice-powered invoice creation tool for contractors, freelancers, and small business owners. The App allows users to record spoken descriptions of work, generate structured invoices, apply default Net 30 due dates where supported, and export invoices as PDF documents. Premium features include unlimited invoice creation, custom business branding, member cloud backup, and an ad-free in-app experience.

2. Accounts and Authentication

• You may use the free tier without creating a cloud account.
• Premium features, purchase restoration, or cloud backup may require a random anonymous app user ID or a supported sign-in provider.
• You are responsible for activity that occurs through your app account on your device.
• You must provide accurate information when you choose to provide business, client, or account information.

3. Free Tier and Subscriptions

a. Free Tier

SpeakSheet offers a free tier with a limit of 3 new invoices per calendar month. Free-tier users may see banner advertisements and may choose to watch an optional rewarded advertisement for an additional invoice run when available. Free-tier features are subject to change.

b. Premium Subscriptions

Premium features are available through auto-renewing subscriptions. Prices are shown in the App before purchase and may vary by region due to taxes, currency conversion, and store rules.

• Monthly: $14.99 per month, unless a different localized price is displayed by the store.
• Annual: $99.00 per year, unless a different localized price is displayed by the store.

Premium features include unlimited invoice creation, custom business branding, member cloud backup, and removal of in-app ads while your subscription is active. Cloud backup covers invoice records and supported settings; large local assets such as logo images and custom template HTML may remain device-local.

Subscriptions are billed and managed by Apple App Store or Google Play. Payment is charged to your store account at confirmation of purchase. Subscriptions renew automatically unless auto-renew is turned off at least 24 hours before the end of the current period. You can manage or cancel your subscription in your store account settings.

c. Refunds

All purchases and refunds are subject to Apple App Store and Google Play policies. We do not process App Store or Google Play refunds directly.

4. Advertisements

The free tier may display non-personalized banner ads and optional rewarded full-screen ads served by Google AdMob. Watching a rewarded ad is optional and grants the stated in-app invoice-run reward only after the ad provider confirms the reward event. Premium subscribers do not see in-app ads while their subscription is active.

5. User Content

You retain all rights to the invoices, client data, job records, photos, recordings, transcripts, and other content you create in SpeakSheet ("User Content"). We do not claim ownership of your User Content. When you use automated transcription, invoice extraction, or premium cloud backup, you grant us a limited license to process, store, and transmit User Content solely as needed to provide those features.

You are responsible for reviewing invoice details, rates, totals, taxes, due dates, and client information before sending any invoice. SpeakSheet is not a substitute for legal, tax, accounting, or financial advice.

6. Acceptable Use

• Do not use the App for any unlawful purpose or to create fraudulent invoices.
• Do not reverse engineer, decompile, or disassemble the App except where permitted by law.
• Do not interfere with the App, subscriptions, ads, usage limits, or underlying infrastructure.
• Do not upload malware or harmful code.
• Do not use automated scripts, bots, or scrapers to access the App.

7. Intellectual Property

SpeakSheet, BaseMapped, and their related names, designs, features, software, and branding are owned by BaseMapped LLC or its licensors. You may not copy, modify, distribute, or create derivative works of the App without our written permission.

8. Third-Party Services

SpeakSheet integrates with third-party services including Supabase, RevenueCat, Google AdMob, Apple App Store, Google Play, and automated transcription or invoice-processing providers. Your use of those services may be subject to their own terms and privacy policies.

9. Disclaimers

The App is provided "as is" and "as available" without warranties of any kind. We do not warrant that the App will be uninterrupted, secure, error-free, or that automated transcription, invoice extraction, calculations, or PDF outputs will be accurate for your specific business, tax, or legal requirements.

10. Limitation of Liability

To the maximum extent permitted by law, BaseMapped LLC shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business interruption, arising out of or related to your use of the App. Our aggregate liability shall not exceed the amount you paid for SpeakSheet in the twelve months before the claim, or USD $100, whichever is greater.

11. Termination

We may suspend or terminate access to the App for conduct that violates these Terms, harms users or third parties, or violates applicable law. You may stop using the App at any time. Canceling a premium subscription does not automatically delete local App data.

12. Changes to Terms

We may update these Terms from time to time. We will update the "Last updated" date above and may provide additional notice where required. Continued use of SpeakSheet after changes are posted means you accept the updated Terms.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules, unless local law requires otherwise.
